By accessing our website, submitting an application, or otherwise engaging with us, you agree to be bound by these Terms. If you do not agree, do not use our website or services.

Section 1: Services

German Verduzco markets battery backup and solar programs to homeowners in California and facilitates applications for program eligibility, which may involve connecting you with third-party installation partners, financing partners, and/or utility programs, including those offered through PG&E and Southern California Edison ("Services"). Submitting an application does not guarantee approval, installation, or enrollment in any specific program. The final scope of any installation, financing, or utility program is governed by a separate agreement between you and the applicable installation or financing partner.

Section 2: Eligibility and No-Cost Application

• Our initial application and consultation are provided at no cost and do not require a credit check to submit.
• Eligibility for a $0-down battery backup and solar program, and the terms of any related financing, are determined by our installation and financing partners and may be subject to a credit check or other approval process at that stage.
• We do not guarantee eligibility, approval, specific savings, sellback credit amounts, or installation timelines.
• Utility partnerships referenced on our website describe the programs your utility may offer; German Verduzco is not owned by, operated by, or an agent of PG&E, Southern California Edison, or any other utility provider.

Section 3: Payment Terms

• Our application and consultation services are provided at no cost to you unless otherwise stated in writing.
• Any fees, financing terms, or payment obligations related to an actual battery backup or solar installation will be set out in a separate agreement between you and the installation or financing partner, not by German Verduzco.
• Prices and program terms referenced on our website are subject to change without notice and do not constitute a binding offer.

Section 4: Phone, SMS, and Autodialed Communications (TCPA / A2P 10DLC)

If you provide a mobile phone number and check the consent box on our application form, or otherwise opt in to be contacted, the following terms apply:

• Types of Contact: You may receive calls, texts, and emails related to your application, appointment reminders, program updates, and promotional or marketing offers, including by autodialer or prerecorded/artificial voice message.
• Message Frequency: Frequency varies depending on your application status and interactions with us.
• Message and Data Rates: Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.
• Cancellation: Reply STOP to any text message to stop texts at any time. You will receive a one-time confirmation that you have been unsubscribed. To stop phone calls, contact us using the information in Section 15.
• Help: Reply HELP to any text message for assistance, or contact us directly using the information in Section 15.
• No Sharing for Marketing: Mobile numbers and SMS opt-in consent data are not shared with third parties for their own marketing purposes.
• Privacy Policy: For details on how we collect, use, and protect your information, see our Privacy Policy.
• Consent to be contacted, including by autodialer or prerecorded message, is not a condition of purchasing any goods or services.
• We comply with the Telephone Consumer Protection Act (TCPA), CTIA Messaging Principles and Best Practices, and applicable California telemarketing laws, including Telephonic Seller Registration requirements where applicable.

Section 5: California Home Solicitation / Right to Cancel

If you sign an installation or financing agreement with one of our partners in your home or at a location other than the partner's permanent place of business, you may have the right under California's Home Solicitation Sales Act (Cal. Civ. Code §§ 1689.5–1689.14) and related consumer protection laws to cancel that agreement, generally within three (3) business days, without penalty. This right applies to the agreement you sign with the installation or financing partner, not to your no-cost application with German Verduzco. Refer to the cancellation notice provided with any agreement you sign for the specific terms that apply to it.

Section 6: Client Responsibilities

By submitting an application or using our Services, you agree to:

• Provide accurate, current, and complete information about yourself and your property
• Comply with all applicable laws in your use of our Services
• Not use our Services for any unlawful, fraudulent, or abusive purpose

Section 7: Intellectual Property

• All content, designs, code, graphics, and materials on germanverduzco.com are the intellectual property of German Verduzco or its licensors unless otherwise stated.
• You may not copy, reproduce, or resell any proprietary content, tools, or processes from our website without written permission.

Section 8: Disclaimer of Warranties

Our website and application services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. German Verduzco does not guarantee specific energy savings, sellback credits, approval, installation timelines, or any other outcome from applying for or enrolling in a battery backup or solar program. Any equipment warranties, workmanship guarantees, or performance guarantees are provided solely by the installation partner under a separate agreement.

Section 9: Limitation of Liability

To the fullest extent permitted by law, German Verduzco shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost savings or lost profits, arising from your use of our website or Services, or from any product or service provided by an installation, financing, or utility partner, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms or our Services shall not exceed the amount, if any, paid by you directly to German Verduzco in the three (3) months preceding the claim.

Section 10: Indemnification

You agree to indemnify and hold harmless German Verduzco, its owners, partners, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our Services, your violation of these Terms, or your violation of any law or third-party rights.

Section 11: Termination

German Verduzco reserves the right to suspend or terminate your access to our website or application services at any time, with or without cause, including for suspected fraud or violation of these Terms.

Section 12: Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or our Services shall be resolved in the state or federal courts located in Fresno County, California, and you consent to personal jurisdiction in such courts.

Section 13: Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of our website or Services after changes constitutes acceptance of the updated Terms.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
